Resell Bundle Deal
Master Resell Rights Agreement
This Agreement (“Agreement”) is entered into between Francois Enterprise US LLC, hereinafter referred to as “Seller,” and the buyer, hereinafter referred to as “Customer.”
1. Grant of Rights: Seller grants Customer the non-exclusive, non-transferable right to use and resell the digital product(s) purchased from Seller. Customer may resell the product(s) to end users only.
2. Limitations: Customer may not modify, edit, or alter the content of the digital product(s) except for the cover page and name, which Customer may edit using Canva or similar software.
3. Responsibility for Content: Customer acknowledges that they are responsible for the content of the product(s) once purchased and before reselling to their customers. Customer agrees to review the content thoroughly and ensure that it aligns with their values and is suitable for their audience before reselling.
4. Transferability: Customer may transfer the rights to resell the product(s) to their customers, provided that the customer agrees to abide by the terms of this Agreement.
5. Disclaimer of Warranty: The product(s) are provided “as is” without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
6. Limitation of Liability: In no event shall Seller be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the product(s).
7. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflicts of laws principles.
8. Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
9. Modification: This Agreement may be modified only by a written instrument signed by both parties.
10. Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
